1. About these terms
These terms of service (“Terms”) govern your use of the Planpath platform (“Platform”), operated by Planpath (“we”, “us”, “our”). By accessing or using the Platform, you agree to be bound by these Terms.
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
2. What the Platform does
Planpath is a B2B marketplace that connects businesses seeking mobile telecoms services (“Customers”) with mobile telecoms providers (“Providers”). The Platform enables Customers to build requirements, receive proposals from Providers, and compare options.
Planpath is a marketplace, not a telecoms provider. We facilitate introductions and comparisons. Any contract for telecoms services is between the Customer and the Provider directly. We are not a party to, and accept no liability for, any such contract.
3. Your account
To use certain features, you must create an account. You agree to:
- Provide accurate and complete information.
- Keep your login credentials secure and confidential.
- Notify us immediately of any unauthorised access to your account.
- Accept responsibility for all activity under your account.
We may suspend or terminate your account if you breach these Terms or if we reasonably believe your account is being misused.
4. Customer terms
If you use the Platform as a Customer:
- You may create requirements describing your telecoms needs. Requirements are shared with Providers on the marketplace.
- You are not obligated to accept any proposal. You may compare proposals and award on your own terms.
- You warrant that the information in your requirements is accurate and that you have authority to procure telecoms services on behalf of your organisation.
- Browsing the Platform and submitting requirements is free of charge for Customers.
5. Provider terms
If you use the Platform as a Provider:
- You may purchase leads to view full requirement details and submit proposals. Lead purchases are non-refundable once the requirement details have been accessed.
- Lead pricing is displayed before purchase. Payment is processed via Stripe and will appear on your account statement.
- You warrant that you are authorised to offer telecoms services and that your proposals are accurate and made in good faith.
- You must not contact Customers outside the Platform to circumvent the marketplace for leads discovered through Planpath.
- Provider subscriptions, where applicable, are billed on a recurring basis. You may cancel at any time; access continues until the end of the current billing period.
6. Acceptable use
You must not:
- Use the Platform for any unlawful purpose.
- Submit false, misleading, or fraudulent information.
- Attempt to gain unauthorised access to other accounts or our systems.
- Scrape, crawl, or use automated tools to extract data from the Platform.
- Interfere with the proper functioning of the Platform.
- Upload content that infringes intellectual property rights or contains malware.
7. AI features
The Platform uses artificial intelligence to assist with requirement building, provider matching, and proposal recommendations. AI-generated outputs are provided as suggestions only. You are responsible for reviewing and verifying any AI-assisted content before acting on it.
We do not guarantee the accuracy, completeness, or suitability of AI-generated recommendations.
8. Intellectual property
All content, features, and functionality of the Platform (excluding content you submit) are owned by Planpath and are protected by UK and international intellectual property laws.
You retain ownership of content you submit (requirements, proposals, messages). By submitting content, you grant us a non-exclusive, worldwide licence to use it for the purpose of operating the Platform.
9. Limitation of liability
To the maximum extent permitted by law:
- The Platform is provided “as is” without warranties of any kind, whether express or implied.
- We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform.
- Our total liability to you in any 12-month period shall not exceed the greater of (a) the fees you have paid to us in that period, or (b) £100.
- We are not liable for the quality, accuracy, or delivery of telecoms services provided by Providers. Any dispute regarding services is between you and the Provider.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
10. Availability and changes
We aim to keep the Platform available at all times but do not guarantee uninterrupted access. We may suspend access for maintenance, updates, or circumstances beyond our control.
We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time. Material changes to these Terms will be communicated with reasonable notice.
11. Termination
You may close your account at any time by contacting us. We may terminate or suspend your access if you breach these Terms.
On termination, your right to use the Platform ceases immediately. We will retain your data in accordance with our Privacy Policy.
12. Privacy and data protection
Your personal data is handled in accordance with our Privacy Policy and Cookie Policy, which form part of these Terms.
13. General
- Entire agreement: these Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Platform.
- Severability: if any provision is found to be unenforceable, the remaining provisions continue in full force.
- No waiver: our failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: you may not assign your rights under these Terms. We may assign our rights to any successor entity.
